Definitions

For the purpose of these Terms and Conditions, the following definitions apply:

• "Platform" refers to the Procure4Less web application, website, and all associated services.
• "Company" refers to Pearlcon Technologies LLP, the owner and operator of Procure4Less.
• "User" or "Buyer" refers to any registered business or individual accessing the platform to manage procurement activities.
• "Vendor" refers to any supplier who receives access via the platform to submit quotes or participate in eAuctions.
• "eAuction" refers to the live reverse auction feature where vendors compete by submitting lower bids in real time.
• "Enquiry / RFQ" refers to a Request for Quotation created by a User on the platform.
• "Subscription" refers to the paid plan selected by a User to access platform features.

Account Registration

To use Procure4Less, you must register for an account by providing accurate, complete, and current information about yourself and your business. You agree to:

• Provide truthful and accurate registration details including company name, GSTIN, and contact information.
• Maintain the security and confidentiality of your account password and login credentials.
• Notify us immediately at service@pearlcons.com if you suspect any unauthorised access to your account.
• Not share your account credentials with third parties outside your organisation.
• Take full responsibility for all activities conducted under your account.

Procure4Less reserves the right to suspend or terminate accounts that contain false information or violate these terms.

Permitted Use

Procure4Less is a B2B procurement management platform intended for legitimate business purchasing activities. You are permitted to:

• Create and manage vendor profiles and product catalogues for your organisation.
• Send Requests for Quotation (RFQs) to registered vendors.
• Conduct live reverse eAuctions for procurement decisions.
• Compare vendor quotes and award purchase orders through the platform.
• Access spend analytics and savings reports for internal business use.

All use of the platform must comply with applicable Indian laws and regulations, including but not limited to the Information Technology Act, 2000, and GST regulations.

Prohibited Activities

The following activities are strictly prohibited on the Procure4Less platform:

• Using the platform for any illegal, fraudulent, or unauthorised purpose under Indian law.
• Attempting to gain unauthorised access to other users' accounts or the platform's backend systems.
• Uploading malicious code, viruses, or any software intended to harm platform functionality.
• Manipulating eAuction bids through collusion, shill bidding, or other deceptive means.
• Misrepresenting vendor or product information to gain unfair commercial advantage.
• Reverse engineering, decompiling, or extracting the platform's source code or proprietary algorithms.
• Reselling or sublicensing access to the platform without written consent from Pearlcon Technologies LLP.
• Scraping platform data using automated tools, bots, or web crawlers.

Subscription & Payment

Procure4Less operates on a subscription-based model. By subscribing to a paid plan, you agree to the following:

• Subscription fees are charged monthly (or annually, where applicable) as per the plan selected.
• All prices displayed are exclusive of GST (Goods and Services Tax) unless stated otherwise.
• Payments must be made in Indian Rupees (INR) through the available payment gateways.
• Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
• The Company reserves the right to revise pricing with 30 days' prior written notice to active subscribers.

Refund Policy: Subscription fees are non-refundable once a billing period has commenced. If you cancel, your access continues until the end of the current paid period. The free trial plan has no payment obligation.

eAuction Rules & Vendor Participation

The eAuction (reverse auction) feature on Procure4Less is governed by the following rules:

• Vendors may only submit bids that are equal to or lower than their previous bid — bids cannot be increased once submitted.
• All vendors participating in an eAuction must have received an official invitation from the registered User (buyer).
• Vendor participation in eAuctions is free of charge. Only the buying organisation pays a subscription fee.
• The buyer retains full discretion to accept or reject any bid, including the lowest bid, at the auction's conclusion.
• Procure4Less does not guarantee that an eAuction will result in a binding contract. Contracts are formed directly between buyer and vendor.
• The Company is not liable for disputes arising from eAuction outcomes between buyers and vendors.

Data & Privacy

By using Procure4Less, you acknowledge and agree to the collection and processing of your data as described in our Privacy Policy. Key points include:

• Your company data, vendor information, and transactional data are stored on secure servers within India.
• We do not sell or share your business data with third parties for commercial purposes.
• Data you upload (vendor lists, product catalogues, pricing information) remains your intellectual property.
• We may use anonymised, aggregated data to improve platform features and performance.
• You are responsible for ensuring that any personal data of your employees or vendors uploaded to the platform complies with applicable privacy laws.

Intellectual Property

All intellectual property rights in the Procure4Less platform — including its software, design, user interface, logos, trade names, algorithms, and content — are owned exclusively by Pearlcon Technologies LLP.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for your internal business purposes during your subscription period. This licence does not include any right to:

• Copy, modify, or distribute the platform's code or design.
• Create derivative works based on the platform.
• Use Procure4Less branding or trademarks without prior written consent.

Limitation of Liability

To the fullest extent permitted by applicable Indian law, Pearlcon Technologies LLP shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising from your use of the platform.
• Loss of business, revenue, profits, or data resulting from platform downtime, errors, or technical issues.
• Disputes, losses, or damages arising from transactions between buyers and vendors conducted through the platform.
• Inaccurate vendor information or quotation data entered by users or vendors.

The platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's fitness for a particular purpose or uninterrupted availability.

Termination

Either party may terminate the use of Procure4Less under the following conditions:

• By the User: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.
• By the Company: We reserve the right to suspend or permanently terminate your account without prior notice if we determine that you have violated these Terms and Conditions.
• Upon termination, your right to access the platform ceases immediately. Your data may be retained for up to 90 days, after which it will be permanently deleted unless legally required to be retained.

Modifications to Terms

Pearlcon Technologies LLP reserves the right to modify these Terms and Conditions at any time. When changes are made:

• The updated terms will be published on this page with a revised "Last Updated" date.
• Active subscribers will receive an email notification at least 14 days before significant changes take effect.
• Continued use of the platform after the effective date of modifications constitutes acceptance of the updated terms.

We encourage you to review these Terms periodically to stay informed about your rights and obligations.

Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute amicably through good-faith negotiations within 30 days of the dispute arising.
